The Reporting Person is a managing partner of Siris Capital Group, LLC, a Delaware limited liability company ("Siris Capital Group"), an affiliate of which, Silver Private Holdings I, LLC, a Delaware limited liability company ("Silver Holdings"), holds securities of the Issuer. Beneficial ownership of such securities is reported separately by Silver Holdings, Siris Capital Group and certain of their affiliates. The Reporting Person expressly disclaims beneficial ownership of such securities, and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of such securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
