Item 1.01.                  Entry into a Material Definitive Agreement

On August 10, 2007 Mission Community Bancorp (“Mission”) entered into a Purchase Agreement (“Agreement”) with Fannie Mae.  The Agreement provides for Mission to purchase 29,400 shares of its common stock held by Fannie Mae, at a per share price of $15.62 for a total purchase price of $459,228.00, with the settlement date of the transaction being August 10, 2007.
