Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 22, 2014, the Board of Directors (the “Board”) of The Phoenix Companies, Inc. (the “Company”) elected Mr. Westley V. Thompson as a director of the Company, effective September 1, 2014, to fill the vacancy on the Board resulting from Gordon J. Davis’ retirement.  Mr. Thompson’s initial term will expire at the Company’s 2015 Annual Meeting of Stockholders.  Upon effectiveness of his election to the Board, Mr. Thompson will be appointed to the Finance Committee and the Governance Committee of the Board.
 
The Board has determined that Mr. Thompson satisfies the definition of “independent director” under New York Stock Exchange listing standards.
 
There was no arrangement or understanding between Mr. Thompson and any other person pursuant to which Mr. Thompson was appointed as a director of the Company. There are no family relationships between Mr. Thompson and any director or executive officer of the Company, and Mr. Thompson does not have any direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
 
The Company will provide Mr. Thompson with the standard compensation and indemnification approved for non-employee directors.

Westley V. Thompson Appointed to The Phoenix Companies, Inc. Board of Directors

Hartford, Conn., May 28, 2014 – The Phoenix Companies, Inc. (NYSE:PNX) today announced the appointment of Westley V. Thompson to its Board of Directors effective September 1, 2014. He will fill the vacancy resulting from the previously disclosed retirement of Gordon J. Davis.
 
“Wes has a deep understanding of the insurance industry, its business challenges and market trends.  He also has a strong, practical knowledge of strategy development and execution, which will make him a great addition to our Board,” said John H. Forsgren, Phoenix’s chairman of the Board.
 
Mr. Thompson most recently served as president of Sun Life Financial, U.S., a division of Sun Life Financial Inc., where he was responsible for all aspects of Sun Life’s U.S. businesses including finance, actuarial, operations, information technology, human resources and marketing.  Previously, he spent a decade with Lincoln Financial Group as president, Retirement Solutions, president, Employer Markets, president, Lincoln Financial Distributors, and other increasingly senior roles. Earlier in his career, he held key management positions at CIGNA Financial Group and Aetna Life & Casualty Company.
 
Mr. Thompson is a director of Hartford Hospital. He has a bachelor’s degree from Brown University.
