Item 8.01. Other Events.

On November 16, 2010, Articles of Incorporation were filed with the Secretary of State of the Commonwealth of Kentucky forming a new wholly owned subsidiary, FullCircle Entertainment, Inc.  The primary purpose of this wholly owned subsidiary is to establish a separate division of the company to acquire and operate multiple entertainment complexes in the future.
