Item 8.01                      Other Events
 
On September 7, 2011, our Board of Directors initiated a cash dividend policy and declared an initial quarterly dividend of $0.25 per common share. The record date for the dividend is September 29, 2011 and the payment date is October 13, 2011.Under the dividend policy, our Board of Directors anticipates a total annual dividend of $1.00 per share, to be paid in equal quarterly installments, commencing with the dividend announced today. However, any decision to pay future cash dividends is subject to the Board’s final determination after a comprehensive review of the company’s financial performance, future expectations and other factors deemed relevant by the Board.

ProAssurance Announces First Quarterly Dividend and Adopts Cash Dividend Policy
BIRMINGHAM, AL., Sept. 7, 2011 (PRNewswire)–The Board of Directors of ProAssurance Corporation (NYSE: PRA) initiated a cash dividend policy today, and has declared an initial quarterly dividend of $0.25 per common share.
 
We will pay the dividend on October 13, 2011 to shareholders who own our stock as of September 29, 2011. On an annualized basis, the quarterly dividend announced today represents a yield of 1.4% based on the $69.90 per share closing price of our stock on the New York Stock Exchange on September 6, 2011.
 
Under the dividend policy, our Board of Directors anticipates a total annual dividend of $1.00 per share, to be paid in equal quarterly installments, commencing with the dividend announced today. However, any decision to pay future cash dividends is subject to the Board’s final determination after a comprehensive review of the company’s financial performance, future expectations and other factors deemed relevant by the Board.
