Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment 
    of Certain Officers; Compensatory Arrangements of Certain Officers. 
 
(b)  Norman R. Sorensen, chairman of Principal International, the international operating division of Principal 
  Financial Group, Inc., will retire on February 29, 2012. Mr. Sorensen will serve as a senior advisor to 
  Principal Financial Group, Inc. through the remainder of 2012. Upon Mr. Sorensen’s retirement and as part of 
  the planned succession, Luis Valdez, president and chief executive officer of Principal International, will lead 
  that division.
