Explanation of Responses:
1. The option shares, which were granted under the Company's 2000 Stock Option Plan, vested in four equal installments on April 15, 2001, April 15, 2002, April 15, 2003 and April 15, 2004.
Remarks:
Mr. Lawrence R. Samuels' proper title as an officer of UTi Worldwide Inc. is Executive Vice President - Finance and Chief Financial Officer. This Form 4/A (this "Amendment") is being filed by the Reporting Person to amend the Form 4 originally filed by the Reporting Person with the Securities and Exchange Commission on December 30, 2009 (the "Original Form 4"). This Amendment revises the amounts reported in Table II of the Original Form 4 to correctly reflect that on December 28, 2009 the Reporting Person exercised employee stock options to purchase 74,775 Ordinary Shares. This Amendment also includes corresponding revisions to the amounts reported in Table I.
