Item 7.01Regulation FD Disclosure.

On January 31, 2008, the company issued a press release announcing that the Board of Directors had approved an increase in the quarterly cash dividend by 5 cents to 25 cents per share.  The increased dividend is payable April 2, 2008 to stockholders of record on March 7, 2008.  The company’s press release announcing the dividend increase is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

FLUOR CORPORATION INCREASES QUARTERLY DIVIDEND

Irving, TX — January 31, 2008 — Fluor Corporation announced that its Board of Directors has authorized a 25% increase in the quarterly dividend to 25 cents ($0.25) per share on the company’s common stock. This increased cash dividend is payable on April 2, 2008 to shareholders of record on March 7, 2008.
