Item 7.01.                        Regulation FD Disclosure.

Exact Sciences Corporation (the "Company") will host an Investor Day on June 21, 2023 beginning at 10:00 a.m. Central time at its headquarters located in Madison, Wisconsin. The presentation will include remarks from Kevin Conroy, Chief Executive Officer, and other members of the executive management team to highlight the Company's operations, key strategic priorities, and financial outlook.

A copy of the written presentation has been posted to the Company's website, www.exactsciences.com, on the Events and Presentations page under the Investor Relations tab, and is furnished as Exhibit 99.1 hereto. A transcript of the event will also be available on that portion of the Company's website.
