Item 8.01 Other Events.

On May 3, 2010, Targacept, Inc. issued a press release regarding (1) the expansion of the development program for its product candidate TC-5619 and (2) an amendment to its Collaborative Research and License Agreement dated December 27, 2005, as amended, with AstraZeneca AB to modify the terms of the agreement as applied to TC-5619.
