Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 

(b)Consistent with the terms of the Securities Purchase Agreement, dated as of November 13, 2012, by and between Community Financial Shares, Inc. (the “Company”)  and the investors identified therein (the “Securities Purchase Agreement”), on February 21, 2013, William F. Behrmann, H. David Clayton, Joseph S. Morrissey and Robert F. Haeger each notified the Company and its wholly owned subsidiary, Community Bank—Wheaton/Glen Ellyn (the “Bank”), of his retirement as a director of the Company and the Bank effective as of February 21, 2013.  The retirements of Messrs. Behrmann, Clayton, Morrissey and Haeger are not due to any disagreements with the Company or the Bank or any concerns relating to the operations, policies or practices of either the Company or the Bank.
