Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On April 1, 2016, we entered into a loan transaction in the amount of $100,000 with our CEO and Board member, Todd R. Hackett. The transaction involved the issuance of a short term Promissory Note due April 30, 2016, secured by accounts receivable and our NOL carryforward, and bearing 10% interest at an annualized rate.
