PART III NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
CafePress Inc. (the Company) has determined that it is unable to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2018 (the Form 10-Q) by November 14, 2018, the original due date for such filing. As disclosed in the Companys Current Report on Form 8-K filed on November 9, 2018 with the SEC, on November 9, 2018, Snapfish, LLC (Snapfish) completed its acquisition of the Company pursuant to the Agreement and Plan of Merger dated as of September 28, 2018 (the Merger Agreement). Due to the extensive and complex disclosure and negotiations related to the Merger Agreement and transactions contemplated thereby, significant management time and resources were diverted from the Companys normal process of preparing the Form 10-Q. As a result, the Company cannot, without unreasonable effort or expense, file its Form 10-Q on or prior to the original due date. The Company anticipates that it will be able to file the Form 10-Q within the extension period provided under Rule 12b-25.
