     (b) On February 24, 2006, John E. Maupin, Jr., D.D.S advised the President of Pinnacle Financial Partners, Inc. (the “Company”) that, due to his accepting the position of President of the Morehouse School of Medicine in Atlanta, Georgia, he intended to resign from the board of directors of the Company effective upon his relocation to Atlanta, Georgia, which is expected to occur prior to the end of the 2006 second quarter.
