Item 1.01.  Entry into a Material Definitive Agreement


On June 30, 2006, Greatbatch, Inc. (the “Company”) entered into an amended and restated employment agreement with Mr. Edward F. Voboril, its Chairman and Chief Executive Officer.  The amended and restated agreement extends his term of employment through January 31, 2008, along with modifying other provisions of the current employment agreement.

The Company intends to file a copy of the agreement with its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2006.
