On April 3, 2007, Smart Online, Inc. filed a registration statement on Form S-1 with the Securities and Exchange Commission relating to a proposed offering of an aggregate of 7,106,971 shares of its common stock, all of which are being offered by current stockholders of the Company.

The registration statement relating to these securities has been filed with the SEC but has not yet become effective.
