Item 8.01. Other Events
The Medicines Company (the “Company”) has received a final award determination from the arbitration panel in the Company's dispute with Eagle Pharmaceuticals, Inc. (“Eagle”).  In the final award, the arbitration panel directed that the Company pay Eagle $5 million and denied the remainder of Eagle's claims for $306 million in damages. 

As previously disclosed, Eagle filed a Demand for Arbitration on October 25, 2011, claiming that the Company failed to meet its obligations under the license and development agreement between the Company, Eagle and certain other parties.
