AMENDMENT NO. 2

TO

AMENDED AND RESTATED SUB-ADVISORY CONTRACT

This Amendment dated as of September 4, 2020, amends the Amended and Restated Sub-Advisory Contract (the “Contract”) between Invesco Advisers, Inc. (the “Adviser”) and Invesco Asset Management (India) Private Limited (the “Sub-Adviser”).

WHEREAS, the parties desire to amend the Agreement to change the name of Invesco Oppenheimer Municipal Fund to Invesco Environmental Focus Municipal Fund, a series portfolio of AIM Tax-Exempt Funds (Invesco Tax-Exempt Funds), effective September 4, 2020; and
