Item 2.02 Results of Operations and Financial Condition.

TradeStation Group, Inc. (the "Company") reported its financial results for its second quarter ended June 30, 2009. The Company also released, along with its results, a Business Outlook for the 2009 third quarter and a revised Business Outlook for the full year. A copy of the Company's press release issued on July 23, 2009 concerning the foregoing results and the Business Outlook information is furnished as Exhibit 99.1 to this report.
