(d) As previously announced in our Current Report on Form 8-K filed with the Securities and Exchange Commission on September 13, 2016, the Board of Directors of Visteon Corporation approved the election of Ms. Naomi M. Bergman to the Board effective October 1, 2016. Ms. Bergman was appointed by the Board to the Audit Committee on October 17, 2016.
