Item 8.01 Other Events.

Effective March 17, 2008, Illumina, Inc. (the "Company") appointed Mike Bouchard as Vice President of Finance. Pursuant to the Company’s New Hire Stock and Incentive Plan, the Company granted an inducement option to purchase 75,000 shares of the Company’s common stock to Mr. Bouchard. This option has an exercise price equal to the closing fair market value of the Company’s common stock on the grant date, which was March 24, 2008, and a ten-year term. Twenty-five percent of the option vests one year after the grant date, and 1/48th of the option thereafter vests on a monthly basis for the next three years.
