On May 2, 2008, Charles J. Homcy, M.D., currently a member of the Board of Directors (the “Board”) of Kosan Biosciences Incorporated (the “Company”), informed the Company of his resignation from the Board, effective May 24, 2008. Dr. Homcy currently serves in the class of directors whose term expires at the Company’s 2010 annual meeting of stockholders.
