APPOINTMENT OF PRINCIPAL OFFICERS

On August 26, 2005, The Company issued a press release disclosing that Don
Campion was appointed to Catuity's Board of Directors and as the Chairman of the
Company's Audit Committee effective immediately. Mr. Campion will also serve on
the Compensation Committee.

A copy of the press release issued in regard to the appointment is included as
Exhibit 99.5.
