BANKRUPTCY OR RECEIVERSHIP. On February 14, 2002, the Company's wholly owned subsidiary, e2 Communications, Inc., consented to an involuntary petition for relief under Chapter 11 of the Bankruptcy Code with the United States Bankruptcy Court for the Northern District of Texas, Dallas Division. Pursuant to the Bankruptcy Code, e2 continues to operate its business and manage its assets as a debtor-in- possession. On February 22, 2002, the Company's wholly owned subsidiary, eSynergies Xceed, Inc., filed a voluntary petition for relief under Chapter 11 of the Bankruptcy Code with the United States Bankruptcy Court for the Central District of California in Los Angeles.
