Item 1.01 Entry into a Material Definitive Agreement.
On June 4, 2021, Entravision Communications Corporation (the “Company”) entered into a Second Amendment (the “Amendment”) to the Credit Agreement dated as of November 30, 2017 and amended as of April 30, 2019 (the “2017 Credit Agreement”), by and among the Company, Bank of America, N.A., as Administrative Agent, and the other financial institutions party thereto as Lenders (collectively, the “Lenders”).
The Amendment amends the 2017 Credit Agreement to, among other things, permit additional investments in restricted subsidiaries that are not loan parties and make certain changes to the definition of “Consolidated Net Income”.
Pursuant to the Amendment, the Company agreed to pay to the Lenders consenting to the Amendment a fee equal to 0.375% of the aggregate principal amount of the outstanding loans held by such Lenders under the 2017 Credit Agreement as of June 4, 2021. This fee totaled approximately $0.6 million.
The foregoing description of the Amendment is not complete and is qualified in its entirety by the terms and provisions of the Amendment, a copy of which is filed herewith as Exhibit 10.1 and is incorporated herein by reference.
