EX-99 3 dex99.txt PRESS RELEASE ISSUED BY ENTRAVISION DATED 3/13/02 Exhibit 99 ENTRAVISION COMMUNICATIONS CORPORATION OFFERS $225 MILLION 8-1/8% SENIOR SUBORDINATED NOTES Santa Monica, CA, March 13, 2002 - Entravision Communications Corporation (NYSE: EVC) today announced that it has entered into an agreement to sell an aggregate principal amount of $225 million of 8-1/8% Senior Subordinated Notes due 2009. The notes will mature on March 15, 2009, will be unsecured senior subordinated indebtedness and will be guaranteed by certain of Entravision's domestic subsidiaries. Entravision will use the net proceeds from the sale of the notes to repay the term loan under its bank credit facility and for general corporate purposes. The Company expects to close the offering on March 18, 2002. The notes will be sold to qualified institutional buyers in reliance on Rule 144A and outside the United States in reliance on Regulation S under the Securities Act of 1933. The offering of the notes will not be registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
