Section 7 - Regulation FD

Item 7.01    Regulation FD Disclosure.

QEP Resources, Inc. revised its Corporate Governance Guidelines (the Guidelines) to indicate that the Lead Director is elected by the independent directors. The current Lead Director was selected in a manner consistent with this policy. The revised Guidelines are located on the Company's web site at www.qepres.com.
