Prior to the conclusion of Registrant's fiscal year ending December 31, 2001, Registrant acquired control of Communicate.com Inc., an Alberta corporation ("AlbertaCo"). The acquisition of AlbertaCo was timely filed on a Current Report on Form 8-K. Since, prior to the acquisition of AlbertaCo, Registrant's operations consisted of seeking an acquisition, the acquisition of AlbertaCo has had a material impact on the financial statements and condition of Registrant. Reference is made to Registrant's Current Report on Form 8-K/A, filed March 30, 2001, which contains pro forma statements of condition and operation which quantify the impact of the acquisition of AlbertaCo on Registrant.
