Item 7.01. Regulation FD Disclosure.

On July 21, 2008, Sinoenergy Corporation (the "Company") announced its expectations to exceed its prior earnings guidance for the third quarter ended June 30, 2008. A copy of the Company’s press release announcing the guidance is attached hereto as Exhibit 99.1.
