ITEM 1.02 Termination of a Material Definitive Agreement

On May 6, 2005, Vyyo Inc. (the “Company”) provided six months advance notice to Hillel Weinstein of the termination of his employment with the Company’s subsidiary, Xtend Networks, effective November 6, 2005, in accordance with the provisions of his employment agreement dated as of June 30, 2004.
