Item 7.01
Regulation FD Disclosure.

On December 10, 2019, the Company announced it entered into a tentative settlement agreement to resolve the litigation among Wolverine, the State of Michigan, and Plainfield and Algoma Townships described in the Company's filings with the SEC, including its Quarterly Report on Form 10-Q for the quarter ended September 28, 2019. The tentative settlement agreement is subject to the completion of a definitive consent decree that is acceptable to all parties and approved by U.S. District Judge Janet T. Neff. The Company’s press release announcing the tentative settlement is filed as an exhibit to this Current Report and incorporated by reference herein. There can be no assurance that a definitive consent decree will be agreed upon by all parties and approved by Judge Neff on the terms outlined in the press release or at all.
