Item 7.01. Regulation FD Disclosure.

On June 28, 2019, each executive officer and members of the Board of Directors of Northern Oil and Gas, Inc. (the “Company”) filed a Form 4 with the Securities and Exchange Commission. These Form 4 filings do not report the sale of any shares of stock by such individuals. The Form 4 filings were made to report the forfeiture of restricted shares previously issued by the Company in connection with its 2018 incentive compensation program. Certain stock price performance targets were not achieved, and as a result the shares reported on the Form 4 filings have been forfeited back to the Company for cancellation in accordance with the terms of each applicable restricted stock award agreement.
