Item 8.01         Other Events


     On March 16, 2005, Sangui Biotech International, Inc. (Pink Sheets: SGBI)
issued a press release announcing that SanguiBioTech GmbH, of Witten, Germany, a
wholly-owned subsidiary of Sangui BioTech International, Inc., has sold an
initial quantity of it's anti-cellulite gel to a German cosmetics distributor at
a price of approximately $ 35,000.

     A copy of the press release is furnished as Exhibit 99.3 to this report.
