Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
In our Current Report on Form 8-K filed with the SEC on December 13, 2022, we reported that we appointed Anindita (Ann) Mukherjee to the Mondelēz International, Inc. Board of Directors, effective January 1, 2023. We are filing this Amendment No. 1 to that Form 8-K to report that our Board of Directors appointed Ms. Mukherjee to serve as a member of the Governance, Membership and Sustainability Committee and a member of the People and Compensation Committee, effective February 2, 2023.
Our Board of Directors has made an affirmative determination that Ms. Mukherjee is independent for purposes of the Nasdaq Stock Market Listing Rules. As previously disclosed in our Form 8-K, there are no transactions between Ms. Mukherjee and us that would be reportable under Item 404(a) of Regulation S-K. Ms. Mukherjee was not selected pursuant to any arrangement or understanding between her and any other person.
