ICICI Bank Limited (the ‘Bank’) Report on Form 6-K

Subject: Disclosure under Indian Listing Regulations

The Bank has made the following announcement to the Indian stock exchanges under the Indian listing regulations:

The Board of ICICI Bank Limited at its Meeting held on May 6, 2019 had approved the re-appointment of M/s Walker Chandiok & Co. LLP, Chartered Accountants (Registration No. 001076N/N500013) as statutory auditors of the Bank to hold office from the conclusion of the 25^th Annual General Meeting till the conclusion of the 26^th Annual General Meeting, subject to the necessary approvals.

The Bank has received approval from RBI for the re-appointment of statutory auditors for the year 2019-20. Approval of the Shareholders is being sought for the said re-appointment at the 25^th Annual General Meeting scheduled to be held on August 9, 2019.

You are requested to take note of above and arrange to bring it to the notice of all concerned.
