                              PART III - NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR,
or  the  transition  report  or  portion  thereof, could not be filed within the
prescribed  time  period.

The  Registrant  files  this  report  for a 15 days extension, from March 31, to
April  15, 2006, for filing its Annual Report on Form 10KSB for the period ended
December 31, 2005. The Registrant will not file its form 10KSB by March 31, 2006
because  it  will  be  unable  to  complete  the  preparation  of  its financial
statements  by the initial filing date without unreasonable effort or expense in
view of additional work, time and attention required by our independent auditors
to  prepare  the 2005 Annual report since Anthony C. Dike, our CEO having been
travelling to facilitate the  completion of certain material business
transactions will require additional time to prepare and review the annual
report prior to filing.  The Registrant  anticipate  that  it  will be able
to file the complete Annual  Report  for 2005 fiscal year on form 10KSB  by
April 15, 2006.
