The  Registrant  files  this  report  for a 5 days extension, from August 16, to
August 21, 2005, for filing its Second Quarter Financial on Form 10QSB,
because  it  will  be  unable  to  complete the  preparation of its financial
statements by the initial filing date without unreasonable effort or expense.
The  Registrant  anticipate  that  it  will be able to file the complete
first quarter fiancials on or before August 21, 2005.
