Item 2.02 Results of Operations and Financial Condition.

On April 20, 2010, Ulticom, Inc. issued a press release announcing its financial results for the quarter ended January 31, 2010 and for the year ended January 31, 2010. A copy of the press release is being furnished herewith as Exhibit 99.1.
