Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

(b) On February 4, 2009, STEC, Inc. (the “Company”) received written notice from James J. Peterson of his resignation as a director of the Company to be effective as of March 5, 2009. Mr. Peterson is Chairman of the Nominating and Corporate Governance Committee and also a member of the Audit Committee and Compensation Committee. The Company has commenced a search for a replacement to fill the vacancy that will be created by Mr. Peterson’s resignation.
