Item 8.01Other Events

On September 18, 2014, CenterState Banks, Inc. (NASDAQ: CSFL) through its wholly owned subsidiary, CenterState Bank of Florida, N.A. (“CenterState”) completed its previously announced sale of the deposits of six branches to Fidelity Bank (“Fidelity”), a wholly owned subsidiary of Fidelity Southern Corporation (NASDAQ: LION).  In connection with the acquisition, Fidelity assumed approximately $174 million of deposits at a deposit premium of 1.5%.  Fidelity also purchased the real estate of five of the six branch offices at a purchase price of approximately $6 million.  CenterState did not sell and Fidelity did not purchase any loans in the transaction.
