NOTE 14—RELATED PARTY TRANSACTION

        In connection with the APB acquisition on August 1, 2012, the Bank paid an advisory fee of $448,000 to Castle Creek Financial LLC ("Castle Creek Financial"). Castle Creek Financial serves as the exclusive financial advisor for the Company and the Bank pursuant to a financial services agreement dated May 18, 2011 between Castle Creek Financial and the Company. Castle Creek Financial is an affiliate of Castle Creek Capital LLC, which is controlled by the Company's chairman.
