          This Post-Effective Amendment No. 1 on Form S-8 to Registration Statement on Form S-4 covers shares of the common stock, no par value (the “Shares”), of First Community Bancorp (the “Registrant”) that may be issued by the Registrant under the plans identified above. The Registrant originally registered the Shares pursuant to its Registration Statement on Form S-4 filed on October 3, 2000 (File number 333-47242). The Registrant paid the registration fee at the time of filing of the Form S-4 Registration Statement.

                   Section 317 of the California General Corporation Law (the “CGCL”) authorizes a court to award, or a corporation’s board of directors to grant, indemnity to directors, officers and employees in terms sufficiently broad to permit such indemnification under certain circumstances for liabilities (including reimbursement for expenses incurred) arising under the Securities Act. Article Fifth, subparagraph (a) of the Registrant’s articles of incorporation provides for elimination of liability for monetary damages of its directors, and Article Fifth, subparagraph (b) of the Registrant’s articles of incorporation and Article VII of the Registrant’s bylaws provide for indemnification of its directors, officers, employees and other agents to the fullest extent permitted by the CGCL. Insofar as indemnification for liabilities arising under the Securities Act may be permitted to directors, officers and controlling persons of the Registrant pursuant to the foregoing provisions, or otherwise, the Registrant has been advised that in the opinion of the Securities and Exchange Commission such indemnification is against public policy as expressed in the Securities Act and is therefore unenforceable.
