STATS ChipPAC Announces Early Results of the
Tender Offer and Consent Solicitation for its Existing
6.75% Senior Notes due 2011
Singapore — 8/11/2010, United States — 8/11/2010 — STATS ChipPAC Ltd. (“STATS ChipPAC” or the “Company” — SGX-ST: STATSChP), a leading semiconductor test and advanced packaging service provider, today announced the early results of the cash tender offer and consent solicitation in respect of its $213.0 million of 6.75% Senior Notes due 20111 (the “Existing Notes”).
As of the Consent Deadline, on Tuesday, August 10, 2010, 5:00 p.m., New York City time, 76.49% of the principal amount of the Existing Notes have been validly tendered and the related consents have been validly delivered. The tender offer for the Existing Notes will expire on Friday, August 27, 2010, at 5:00 p.m., New York City time, unless extended or earlier terminated.
The Company has elected to exercise the early purchase option in respect of the tender offer and the Early Settlement Date for the purchase of Existing Notes tendered at or prior to the Consent Deadline is expected to be on Thursday, August 12, 2010.
The terms and conditions of the tender offer and consent solicitation, including the Company’s obligation to accept and pay the applicable Total Consideration or the applicable Tender Consideration, as the case may be, for Existing Notes tendered, are set forth in the Company’s Offer to Purchase and Consent Solicitation Statement dated July 30, 2010 (the “Offer to Purchase”). The Company may amend, extend or terminate the tender offer and consent solicitation at any time.
The Company has appointed Credit Suisse and Deutsche Bank as the Dealer Managers and Lucid Issuer Services Limited as the Tender and Information Agent for the tender offer and consent solicitation.
