I, Joan Anderson Growe, Secretary of State of Minnesota, do certify that: Articles of Incorporation, duly signed and acknowledged under oath, have been filed on this date in the Office of the Secretary of State, for the incorporation of the following corporation, under and in accordance with the provisions of the chapter of Minnesota Statutes listed below.

THE UNDERSIGNED, for the purpose of forming a corporation under and pursuant to the provisions of Minnesota Revised Statutes, Chapter 302A, and laws amendatory thereof and supplementary thereto, does hereby adopt the following Articles of Incorporation.

The registered office of this corporation in the State of Minnesota shall be 4105 North Lexington, #305 Arden Hills, Minnesota 55126.

The total authorized shares of stock of this corporation shall [ILLEGIBLE] twenty-five Thousand (25,000) of One Dollar ($1.00) par value which shall be a single class of common stock. The Board of Directors may, from time to time, establish by resolution additional or different classes or series of shares and may fix the rights and preferences of said shares in any class or series. The Board of Directors shall have the authority to issue shares of a class or series to holders of shares of another class or series to effectuate share dividends, splits, or conversion of its outstanding shares.

Any action required or permitted to be taken at a meeting of the Board of Directors may be taken by written action signed by the number of directors required to take the same action at a meeting of the Board of Directors at which all directors were present. When written action is taken by less than all of the directors, all directors shall be notified immediately of its text and effective date, except that failure to provide such notice does not invalidate the written action.

A holder of any stock of the corporation shall be entitled as a [ILLEGIBLE] of right to purchase, subscribe for or otherwise acquire any new or additional [ILLEGIBLE] of stock of the corporation of any class, or any options or warrants to purchase, subscribe for or otherwise acquire any such new or additional shares, or any shares, bonds, notes, debentures or other securities convertible into or carrying options or warrants to purchase, subscribe for or otherwise acquire any such new or additional shares.

The shareholders shall not be entitled to cumulative voting. The shareholders shall take action by the affirmative vote of the holders of a majority of the voting power, of the shares present and voting, except where a larger proportion is required by these Articles of Incorporation or law.

The corporation shall, to the fullest extent permitted by Chapter 302A, Minnesota Statutes, as the same may be amended and supplemented, indemnify any and all persons whom it shall have power to indemnify under said Chapter from and against any and all of the expenses, liabilities or other matters referred to in or covered by said Chapter.

A director of the corporation shall not be personally liable to the corporation or its shareholders for monetary damages for breach of fiduciary duty as a director except that this article shall not eliminate or limit the liability of a director;

If Chapter 302A of Minnesota Statutes hereafter is amended to authorize a further elimination or limitation of liability of directors, then the liability of a director of the corporation, in addition to limitation on personal liability provided herein, shall be limited to the fullest extent permitted by the amended Chapter 302A of Minnesota Statutes. Any repeal or modification of this Article by the shareholders of the corporation shall be prospective only and shall not adversely affect any limitation on the personal liability of a director of the corporation existing at the time of such repeal or modification.
