Item 2.03. Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant

On June 27 and 30, 2008, CHI 3, LLC, a single member limited liability company wholly owned by Equinix Operating Co., Inc., a wholly-owned subsidiary of Equinix, Inc., borrowed an additional $2.7 million under its $110 million Development Loan and Security Agreement, dated February 2, 2007, with SFT I, Inc. (the “Loan Agreement”) to be used for the development, design and construction of an approximately 250,000 square foot IBX data center located in Elk Grove Village, Illinois. This final borrowing brings the total borrowings under the Loan Agreement to approximately $110 million at the current blended interest rate of 5.1875%.
