ITEM 8.01.  OTHER EVENTS.

As part of its regular quarter-end review, the Fund's Valuation Committee has
determined to increase the fair values of the Fund's investments in the
following three portfolio companies by an aggregate amount of approximately
$4.77 million or $0.25 per share: Baltic Motors Corporation, Dakota Growers
Pasta Company, Inc. and Ohio Medical Corporation.

The Fund's net asset value as of July 31, 2006 is $11.70 per share.
