ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES.

On April 22, 2009, the Company issued 500,000 restricted shares of common stock to the Company’s chief executive office, John Fleming.  This stock was valued at $80,000 ($0.16 per share) and was issued upon approval of the Company’s board of directors for services rendered to the Company).  As of that date, the total issued and outstanding common stock of the Company was 688,880.

This issuance was undertaken under Rule 506 of Regulation D under the Securities Act of 1933.  That is, the transactions did not involve a public offering and the investor represented that he is a “sophisticated” investor as defined in Rule 502 of Regulation D.
