Item 1.01 Entry into a Material Definitive Agreement

Agenus Inc. (the “Company”) entered into a commercial lease with 149 Fifth Ave. Corp. on December 13, 2012, for approximately 5,600 square feet of office space located at 149 Fifth Avenue, New York, New York for use as corporate offices. The term of the lease commences on December 14, 2012 and lasts for seven years five months at an initial annual base rental of $273,077 with 2.5% annual increases and a five-month free rent period. The Company paid a cash security deposit upon signing of $204,804 and will receive up to $111,460 toward tenant improvements.
