Item 1.01

Entry into a Material Definitive Agreement

On April 11, 2011, Agenus Inc. (the “Company”) and TBCI, LLC executed a Fifth Amendment of Lease reducing the Company’s occupied space of its Lexington, Massachusetts location from approximately 162,000 square feet to approximately 83,000 square feet thus reducing the Company’s annual rental payments by approximately $1.1 million over the remaining lease term. In addition, facility related operating expenses are estimated to decrease approximately $400,000 per year. The Company’s rent and operating expenses will be reduced commencing no later than November 1, 2011.
