Item 1.01. Entry Into a Material Definitive Agreement.

On December 15, 2006, Concentra Operating Corporation (the “Company”) issued a Current Report on Form 8-K indicating that the board of directors (the “Board”) of Concentra Inc. (“Concentra”), the Company’s parent corporation, took formal action to approve a change to Concentra’s existing director compensation plan. Such Current Report was erroneous; the Board did not take such action. The compensation payable to the Board continues as disclosed on Exhibit 10.24 to the Company’s Current Report on Form 8-K filed on December 15, 2005.
